Thank you for your interest in submitting an idea to Indian Motorcycle Company (“IMC”).
IMC will not consider an idea unless it is accompanied by a signed original “Idea Submissions to Indian Motorcycle Company” form, a copy of which is you can download at the bottom of this page. Any idea unaccompanied by this form will be returned unconsidered to the submitter. Any materials or suggestions you have already mailed or emailed to us are being returned without review.
The following are additional things you should understand and consider before submitting an idea to IMC:

Any idea that you submit for consideration should be proprietary to you, and preferably should be the subject of a patent or patent application, copyright or trademark; however, Do not send any material not protected by patent, copyright or trademark that you consider confidential or trade secret information because IMC will not, and does not, agree to maintain the confidentiality or secrecy of any idea submissions.

Any decision regarding compensation for the idea will be strictly at the discretion of IMC, even if we use the idea. Therefore, once again, if you want to assert proprietary rights in the idea, we suggest you obtain a copyright, trademark, patent or file a patent application on it.

You may not use or create any materials bearing the name or trademarks of Indian Motorcycle Company. Therefore, if your idea includes usage of such marks, be advised that no such usage is permitted by this document or otherwise.

IDEA SUBMISSIONS TO INDIAN MOTORCYCLE
To ensure that you understand the terms under which Indian Motorcycle Company (“IMC”) will consider ideas submitted to the company, IMC will consider your submission only if you accept and acknowledge the following conditions and provisions by signing this Agreement in the space indicated below:

IMC does not solicit suggestions, and sending this form does not constitute an invitation to disclose an idea.

IMC has returned to you the letter and other materials, if any, you may have sent prior to signing this document, together with this document.

Material submitted with this document will not be returned, so retain a duplicate.

IMC’s review of an idea submitted pursuant to this form does not create a confidential relationship between you and IMC. By initiating review of the idea, IMC does not agree to keep the idea confidential or to protect the idea in any way. By signing this Agreement, you agree that no confidential relationship exists between you and IMC, and that IMC is not obligated to protect the confidentiality of your idea or refrain from using or exploiting your idea except to the extent your idea is protected by copyright, trademark or patent. You expressly waive any rights you may have under state or federal trade secret protection laws or under common law protections for confidential, proprietary, or trade secret information.

By undertaking review of your idea, IMC is not agreeing to compensate you for the idea, even if IMC uses some or all of your idea. In the event IMC desires to use your idea, IMC will negotiate in good faith with you regarding the terms of any compensation to you, but in the event an agreement cannot be reached, IMC may use your idea to the extent it is not protected by patent, trademark or copyright. Negotiating with respect to offer to purchase an idea shall not be an admission by IMC of the novelty, priority, or originality of the idea, or of any obligation to pay for its use.

IMC shall not be obligated to give reasons for its decision concerning the idea you submit, nor shall it be obligated to reveal its past or present activities related to the idea submitted or any similar idea.
